These Terms of Service ("Terms") govern your access to and use of the TradeOn — Trade Operating Network platform ("TON", "Platform", "we", "our", or "us"), a trade name of YantrAdhigam Labs Private Limited, a company incorporated under the laws of India. By registering for or using TradeOn, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
1. Acceptance of Terms
By creating an account, accessing, or using the TradeOn platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and Refund & Cancellation Policy, all of which are incorporated herein by reference. If you are using the platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872 to use TradeOn. By using the Platform, you represent and warrant that you meet these eligibility requirements. The Platform is intended for use by registered businesses and their authorized representatives only.
3. Account Registration & KYC
To use TradeOn, you must register an account and provide accurate, complete, and current information about yourself and your organization. You agree to:
- Provide accurate business registration details, including GSTIN and PAN where applicable.
- Complete the Know Your Customer (KYC) verification process as required by the Platform. TradeOn reserves the right to verify any information provided and to request additional documentation at any time.
- Maintain one account per organization. Multiple accounts for the same legal entity are not permitted without prior written approval.
- Keep your login credentials secure and not share them with unauthorized individuals. You are responsible for all activity that occurs under your account, whether or not authorized by you.
- Promptly update your account information if any details change.
- Notify us immediately of any unauthorized access to or use of your account.
TradeOn reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including but not limited to cases where KYC verification fails, information provided is found to be inaccurate, or the account is suspected of fraudulent activity.
4. Nature of Platform — Intermediary Status
TradeOn operates as an online B2B marketplace and intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. TradeOn provides a technology platform that facilitates trade connections between sellers and buyers. TradeOn is not a party to any transaction between sellers and buyers and does not:
- Own, manufacture, store, or inspect any products listed on the Platform.
- Guarantee the quality, safety, legality, or accuracy of product listings.
- Guarantee the ability of sellers to fulfill orders or the ability of buyers to make payment.
- Guarantee that any transaction will be completed or that any party will perform its obligations.
All trade transactions, including terms of sale, pricing, delivery, payment, warranties, and disputes regarding products or services are solely between the respective seller and buyer. TradeOn shall not be responsible or liable for any such transactions or any disputes arising therefrom.
5. Platform Usage & Prohibited Activities
You agree to use TradeOn only for lawful business purposes and in accordance with these Terms and our Acceptable Use Policy. You shall not:
- Use the platform for any illegal or unauthorized purpose, including but not limited to tax evasion, fraud, money laundering, or violation of any applicable law.
- List, sell, or facilitate the sale of counterfeit, prohibited, restricted, or illegally obtained goods.
- Use automated tools, bots, scrapers, crawlers, or similar technology to access or interact with the platform without our express written consent.
- Attempt to gain unauthorized access to other users' accounts, data, or any part of the platform's infrastructure.
- Interfere with or disrupt the platform's operation, servers, networks, or connected systems.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the platform.
- Upload or transmit viruses, malware, or any code of a destructive or disruptive nature.
- Engage in price manipulation, fake reviews, shill bidding, or any other form of market manipulation.
- Circumvent or attempt to circumvent any security or access control mechanisms of the Platform.
- Harvest, collect, or store personal data of other users without their express consent.
6. Seller Obligations
If you use TradeOn as a seller (manufacturer, distributor, wholesaler, or any supply-side role), you agree to:
- Maintain an accurate product catalog with correct descriptions, HSN codes, GST rates, pricing, and stock availability.
- Ensure all products listed comply with applicable Indian laws, including the Legal Metrology Act, Food Safety and Standards Act (where applicable), BIS standards, and all relevant product-specific regulations.
- Fulfill accepted orders in a timely manner and communicate any delays or issues promptly.
- Ensure full GST compliance, including accurate tax calculation, valid GSTIN on all invoices, and timely tax filing.
- Respond to GRN discrepancy reports and buyer disputes within the prescribed timeframes.
- Not engage in predatory pricing, misleading product descriptions, or any unfair trade practices as defined under the Consumer Protection Act, 2019.
- Not list counterfeit, pirated, or trademark-infringing products. Violation of intellectual property rights may result in immediate account termination and legal action.
- Provide accurate country of origin information for all products as required by law.
7. Buyer Obligations
If you use TradeOn as a buyer (retailer, dealer, institutional buyer, or any demand-side role), you agree to:
- Place genuine orders with the intent to fulfill the transaction. Frivolous or speculative orders are not permitted.
- Make timely payments as per the agreed terms with your suppliers. Outstanding payments beyond agreed credit terms may result in order restrictions.
- Submit accurate Goods Receipt Notes (GRN) reflecting the true condition and quantity of goods received. Fraudulent GRN submissions are strictly prohibited.
- Comply with the Terms & Conditions set by your suppliers on the platform.
- Maintain accurate business and delivery address information.
- Not misuse the Platform to obtain trade intelligence, pricing data, or supplier information for purposes other than genuine trade.
8. Payments & Billing
TradeOn offers subscription-based access to the platform. By subscribing to a plan, you agree to:
- Subscription fees: Pay the applicable monthly subscription fee for your selected plan. Fees are processed through Razorpay and are non-refundable unless otherwise specified in our Refund Policy.
- Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
- Plan changes: You may upgrade or downgrade your plan at any time. TradeOn reserves the right to modify plan pricing or features with 90 days' prior notice to active subscribers.
- Overdue accounts: Accounts with overdue subscription payments may have access to platform features restricted until payment is resolved.
- Taxes: All fees are exclusive of applicable taxes (including GST) unless explicitly stated otherwise. You are responsible for paying all applicable taxes.
9. Content & Intellectual Property
Platform IP: The TradeOn platform, including its design, code, features, content, logos, trademarks, and documentation, is the intellectual property of YantrAdhigam Labs Private Limited and is protected by applicable intellectual property laws including the Copyright Act, 1957 and the Trade Marks Act, 1999. You are granted a limited, non-exclusive, non-transferable, revocable license to use the platform for your business operations during the term of your subscription.
User Content: You retain ownership of all data, product information, and business content you upload to the platform ("User Content"). By uploading User Content, you grant TradeOn a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and process such content solely for the purpose of providing the platform services.
Content Moderation: TradeOn reserves the right, but has no obligation, to review, monitor, edit, or remove any User Content that violates these Terms, applicable laws, or is otherwise objectionable, at its sole discretion and without prior notice.

10. API Services
If you subscribe to TradeOn's API services, additional terms apply:
- API access is granted on a per-organization basis and is non-transferable.
- You shall not exceed the rate limits or usage quotas associated with your API plan.
- You shall not use the API to build a competing service, scrape data for redistribution, or circumvent the Platform's intended functionality.
- API keys must be kept confidential. You are responsible for all activity under your API keys.
- TradeOn reserves the right to throttle, suspend, or revoke API access for violations or abuse.
- API services may be modified, deprecated, or discontinued with reasonable prior notice.
11. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS.
TradeOn does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Platform will be accurate or reliable; (c) the quality of any products, services, or information obtained through the Platform will meet your expectations; or (d) any errors in the Platform will be corrected.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- TradeOn and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, arising out of or in connection with your use of or inability to use the Platform.
- TradeOn's total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the total subscription fees actually paid by you to TradeOn in the twelve (12) months immediately preceding the event giving rise to the claim.
- TradeOn shall not be liable for any damages arising from transactions between users, including but not limited to product quality, delivery, payment, or any contractual obligations between sellers and buyers.
13. Indemnification
You agree to indemnify, defend, and hold harmless TradeOn, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorney's fees and legal costs) arising out of or related to:
- Your use of or access to the Platform;
- Your User Content or any content you submit, post, or transmit through the Platform;
- Your violation of these Terms or any applicable law, rule, or regulation;
- Your violation of any third party's rights, including intellectual property, privacy, or contractual rights;
- Any transaction or dispute between you and another user of the Platform;
- Any claim by a third party arising from your actions or omissions on the Platform.
14. Force Majeure
TradeOn shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, civil unrest, government actions or orders, strikes, labor disputes, power failures, internet or telecommunications failures, cyberattacks, fire, flood, earthquake, or any other event of force majeure. During such events, TradeOn's obligations shall be suspended for the duration of the force majeure event.
15. Electronic Communications
By using TradeOn, you consent to receiving electronic communications from us, including but not limited to emails, SMS, push notifications, and in-platform notifications. You agree that all agreements, notices, disclosures, invoices, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, in accordance with the Information Technology Act, 2000.
16. Third-Party Links & Services
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by TradeOn (including but not limited to payment gateways, logistics providers, and external tools). TradeOn is not responsible for the availability, content, accuracy, or practices of such third-party resources. Your use of any third-party service is at your own risk and subject to such third party's terms and policies.
17. Termination
Either party may terminate the use of the platform at any time. TradeOn reserves the right to suspend or terminate your account immediately and without prior notice if you:
- Violate these Terms or any applicable law;
- Engage in fraudulent, deceptive, or illegal activity;
- Fail to pay subscription fees after due notice;
- Fail to complete KYC verification within the prescribed timeframe;
- Receive multiple complaints from other users that are found to be substantiated;
- For any other reason at our reasonable discretion.
Upon termination: (a) your access to the Platform will be revoked; (b) any outstanding fees shall become immediately due; (c) you may request an export of your data within 30 days of termination; (d) after the 30-day period, your data may be deleted in accordance with our data retention policies; (e) clauses that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) shall continue to apply.
18. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India without regard to its conflict of law provisions.
In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended), with the seat and venue of arbitration in Ahmedabad, Gujarat, India. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties.
Subject to the above, the courts of Ahmedabad, Gujarat shall have exclusive jurisdiction over any disputes arising from these Terms.
19. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and TradeOn with respect to the Platform and supersede all prior agreements, understandings, and communications.
- Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.
- Waiver: The failure of TradeOn to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of TradeOn.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without TradeOn's prior written consent. TradeOn may assign its rights and obligations without restriction.
- Notices: All notices from TradeOn to you may be sent via email to the address registered with your account or posted on the Platform. Notices from you to TradeOn must be sent to info@tradeon.in.
- Amendments: TradeOn reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
